GXS FlexiLoan Rewards Campaign Standard Terms

These GXS FlexiLoan Rewards Campaign Standard Terms (“Terms”) set out the terms and conditions that govern the relationship between GXS Bank Pte. Ltd. (the “Bank”, “us”, “we” or “our”) and the customer (“you”) and any applicable promotional campaign that has been extended to you by the Bank or which the Bank has invited you to participate in. Specific terms and conditions (“Specific Terms”) will apply to the specific promotional campaign that has been extended to you by the Bank or which the Bank has invited you to participate in and these Terms shall always be read together with the Specific Terms. When the Bank extends a promotional campaign to you or invites you to participate in a promotional campaign, the Bank will inform you of the relevant Specific Terms that apply to such promotional campaign, and by participating in the promotional campaign, you agree to these Terms and the Specific Terms (“Campaign Terms”).

1. Campaign

A promotional campaign shall be as described in the relevant Specific Terms (“Campaign”). The Specific Terms will set out the relevant promotion period for a Campaign (“Campaign Period”).

2. Eligibility and Reward

2.1   The relevant eligibility requirements for a Campaign will be set out in the Specific Terms and these Terms. Any customer who meets the eligibility requirements set out in these Terms and the Specific Terms for a Campaign which has been extended to the customer by the Bank or which the Bank has invited the customer to participate in will be an eligible customer (“Eligible Customer”). The reward an Eligible Customer is entitled to receive from the Bank under any particular Campaign shall be as described in the Specific Terms for such Campaign (“Reward”).

2.2   The Campaign is available to you if you have met the eligibility requirements set out in the Specific Terms and:

  1. you have opened and maintained a GXS FlexiLoan account, and such account remains active and in good standing with the Bank at all material times, including during the Campaignn Period;
  2. you have received an invite from the Bank notifying you of your eligibility to participate in the Campaign; and
  3. if required, you maintain a GXS Savings Account (whether as a new or existing GXS Savings Account customer) during the Campaign Period.

2.3 You will not be eligible to receive a Reward for this Campaign if:

  1.  you have closed your GXS FlexiLoan account with the Bank at any time prior to your receipt of the Bank’s invite and/or during the Campaign Period;
  2. you default on any GXS FlexiLoan repayments for the loan drawn pursuant to a Campaign and/or any other loans drawn under your GXS FlexiLoan account;
  3. if applicable, any loan to which has been drawn pursuant to a Campaign is cancelled, reversed, voided and/or terminated for any reason following the drawdown of the loan or otherwise.
  4. any information which you have provided to the Bank during the GXS FlexiLoan application process has materially changed prior to drawdown of, or during the tenure of, any applicable loan;
  5. at any time during the Campaign Period or prior to fulfillment of the Reward (or any part thereof):
    1. your GXS FlexiLoan account (or, if required, your GXS Savings Account) with the Bank is closed, suspended, cancelled or terminated (whether voluntarily or involuntarily);
    2. your GXS FlexiLoan account (or, if required, your GXS Savings Account) is not active or in good standing with the Bank for any reason; or
    3. you have not complied with or breached any of the Campaign Terms or the GXS FlexiLoan Terms.
3. Terms of the Reward

3.1.   An Eligible Customer’s entitlement to receive a Reward under any Campaign shall be subject always to such customer successfully fulfilling the requirements of the Campaign and such customer providing the Bank with full and accurate details of his contact details and/or particulars. 

3.2   Following the end of a Campaign Period, or at any time determined by the Bank at its sole discretion, the Bank will provide the Eligible Customer with details to redeem and/or use the Reward and, if applicable, such conditions accompanying the redemption and/or use of the Reward from the supplier of the Reward. The Bank has sole discretion to determine the timing for fulfillment of the Reward. The Eligible Customer shall accept the Reward as it is and subject to any terms and conditions that may be imposed by the supplier of the Reward.

3.3   The Eligible Customer shall comply with such conditions of redemption and/or use stipulated by the supplier of the Reward, including the expiry of the Reward.

3.4   The Reward may be limited in quantity and is available on a first-come, first-served basis, unless otherwise stated by the Bank. The Bank makes no guarantee on the availability of the Reward.

3.5   The Reward shall not be transferable, sold and/or exchangeable for cash, credit or any other items in part or in whole.

3.6   The Bank shall not be liable to replace and/or compensate a customer for any Reward that has been lost, expired and/or otherwise not redeemed or used in accordance with the terms and conditions.

3.7   The Bank reserves the right to claw back the value of the Reward if it determines, at its sole and absolute discretion, that customer has not fulfilled the Campaign Terms and/or otherwise any misrepresentation, misconduct, fraud, and/or unfair or illegal conduct has been exhibited on the part of the Eligible Customer at any time. 

3.8   Unless otherwise stated, the Bank is not the supplier of the Reward and is not obliged to assist or otherwise act on behalf of the customer to communicate with the supplier of the Reward for any reason, including but not limited to, the pursuit of any recourse against the supplier of the Reward.

3.9   The Bank makes no representation or warranty as to the quality or fitness for purpose, whether express or implied, of the Reward.

4. General

4.1   A Campaign shall not be valid with any other offers or promotions unless otherwise stated.

4.2   The Bank may add to, amend, modify or vary any or all of these Terms and/or the Specific Terms at any time without notice or liability to any person.

4.3   The Bank’s  records and decisions on all matters relating to a Campaign (including but not limited to the eligibility of any person to participate in a Campaign and the awarding of any cashback, voucher or item) shall be final, conclusive and binding on all customers. We are not obliged to entertain any correspondence.

4.4   In the event of any inconsistency between these Terms and the Specific Terms, the Specific Terms shall prevail. In the event of any inconsistency between any brochure, marketing or promotional material relating to a Campaign and the Campaign Terms, the Campaign Terms shall prevail. 

4.5   The Bank, employees and/or independent contractors shall not be liable for any loss, liability, expense, damage and/or injury whatsoever or howsoever incurred or sustained by any person by reason of, arising from or in connection with a Campaign including the redemption or use of any good, service, product or facility of any merchant (if applicable) or for any other reason.

4.6   The Bank is not responsible for any failure or delay in the transmission of any transaction by any party, including acquiring merchants, merchant establishments or any telecommunication provider.

4.7   The Campaign Terms shall be governed by and interpreted in accordance with Singapore law, and you agree to submit to the exclusive jurisdiction of the Singapore courts.

4.8   A third party who is not a party to the Campaign Terms shall have no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce or enjoy the benefit of any provision of these Terms.

4.9   The Campaign Terms shall apply in conjunction with the GXS FlexiLoan Terms and Conditions and any other relevant terms as may be updated and/or notified by the Bank from time to time.

4.10   The Bank reserves the right, at its sole and absolute discretion, to suspend, discontinue, extend and/or otherwise terminate a Campaign at any time without notice. The Bank shall not be liable for any damages, losses, claims or expenses arising from the suspension, discontinuance, extension and/or termination of a Campaign.

4.11   With respect to a Campaign, all information set out in the Campaign Terms is accurate at the time of publication of such Specific Terms.

Deposit Insurance Scheme

Singapore dollar deposits of non-bank depositors are insured by the Singapore Deposit Insurance Corporation, for up to S$100,000 in aggregate per depositor per Scheme member by law. Foreign currency deposits, dual currency investments, structured deposits and other investment products are not insured.
