By accepting these Terms of Use, you are also deemed to have read and accepted the following additional terms and policies which also govern your access and/or use of our GXS Bank Services and Platforms:

• Data Privacy Policy, as (i) set out at the following URL: www.gxs.com.sg/data-privacy, or (ii) made available through our mobile application (“Data Privacy Policy”). Details on how we use, collect, and/or disclose personal data may be found in our Data Privacy Policy.
• Acceptable Use Policy, as set out at the following URL: www.gxs.com.sg/acceptable-use (“Acceptable Use Policy”). The Acceptable Use Policy sets out the permitted and prohibited uses of our GXS Bank Services and Platforms.

Further and other terms and conditions will apply, should you sign up for any banking services and products with us.

We may update and change our GXS Bank Services and Platforms, from time to time to reflect changes to our products and services, our customers’ and users' needs and/or our business priorities. If we make any material changes, we will notify you and/or provide updates via our GXS Bank Services and Platforms. You are advised to visit our GXS Bank Services and Platforms regularly for a timely update. We reserve the right to make any change to our terms at any time without notice, whether to correct any error, comply with prevailing laws and regulations or otherwise as required in our sole discretion.

We have made available our GXS Bank Services and Platforms at no cost to you. Whilst we endeavour to maintain your continued access to GXS Bank Services and Platforms, including any published content, we do not guarantee that your use and/or access will remain available and/or uninterrupted at all times. We may suspend, withdraw, and/or restrict your access to, any or all of our GXS Bank Services and Platforms for business and operational reasons, and if such a situation arises, we will provide notice to the extent reasonably practicable.

You may provide certain information, including personal details, for the purposes of registration or otherwise to enjoy access to certain services on GXS Bank Services and Platforms. If you provide any information and/or details to us on GXS Bank Services and Platforms, you represent and warrant that such information is true, accurate and complete at the material time, and you undertake to inform us immediately if there are any changes.

If you have created, or we have provided you with, any user identification, unique identifier, password, personal identification number, one-time passcode or equivalent, as part of our security procedures, you are advised to treat such information as confidential. You must always keep your personal information, as well as security codes, safe and secure, and you are advised not to disclose such information to any third party. It is your responsibility to maintain the physical security of your devices and the confidentiality of the information on your devices. We may disable any user identification, unique identifier, password, personal identification number, one-time passcode or equivalent, whether chosen by you or otherwise, at any time
without notice, if we determine in our reasonable opinion that you have failed to comply with these Terms of Use. If you know or suspect that any third party has had access to your user identification, unique identifier, password, personal identification number, one-time passcode or equivalent, with your authorisation, you should notify us immediately.

All communications made between you and us via our GXS Bank Services and Platforms will be collected, used, processed and/or disclosed by the Bank and/or any authorised third parties in accordance with our Data Privacy Policy. Where any communications made between you and us via our GXS Bank Services and Platforms includes any service or platform powered by generative AI, all communications collected, used, processed and/or disclosed by the Bank and/or any authorised third parties will also be for the purposes of responding to queries, feedback or requests, improving the accuracy of GXS Bank Services and Platforms and enhancing the quality of and providing services to you.

We will retain a record, transcript and/or recording of all communications, payments and instructions made between you and us or by you via our GXS Bank Services and Platforms. We are not obliged to provide you with a copy of such transcripts and/or recordings. We will retain such records, transcripts and/or recordings for a period of time (as considered appropriate by us at our discretion) so as to comply with applicable laws and regulations and our internal policies. You agree that we shall have the right to use the records, transcripts and/or recordings in the event of any dispute and you shall not dispute or challenge the admissibility, reliability, accuracy or the authenticity of such contents or records. This shall also apply to all records maintained by the relevant third party service provider engaged by us in the provision of any of the GXS Bank Services and Platforms.

These Terms of Use permit your use and/or access to GXS Bank Services and Platforms for personal and non-commercial use only. Unless otherwise stated, you are not permitted to use, reproduce, alter, display, adapt, distribute, or publish any part of the content on GXS Bank Services and Platforms without our prior written approval and consent.

You may print one copy, and download extracts, of any page from GXS Bank Services and Platforms for your personal use only. However, you must not modify the paper or digital copies of any materials you have printed or downloaded in any way, or use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Unless the content is user-generated, you should acknowledge that the content is taken from our GXS Bank Services and Platforms (or from any identified contributors as the authors of the content). Further, you agree not to use any part of the content on our GXS Bank Services and Platforms for commercial purposes. If you print, copy, download, share or repost any part of GXS Bank Services and Platforms, in breach of these Terms of Use, we may terminate your right to use and/or access to GXS Bank Services and Platforms immediately, and you must return or destroy any copies of the materials you have made.

Where expressly permitted by us, you may share, post, repost or otherwise transmit (collectively, “share”) screens, information, data, text, messages or other materials of or relating to content on GXS Bank Services and Platforms (“Materials”). All Materials shared of or via GXS Bank Services and Platforms are your sole responsibility, and we shall not be responsible for such Materials shared by you. We shall not be under any obligation of confidentiality or privacy of customer information in respect of any Materials shared by you on any medium. If you share any Materials, you should acknowledge that the content is taken from our GXS Bank Services and Platforms (or from any identified contributors as the authors of the content), and all Materials shared must not be modified in any way, and any illustrations, photographs, video or audio sequences or any graphics shall not be used separately from any accompanying text.

The names, images and logos (“Marks”) identifying us or third parties and their products and services are subject to copyright, design rights and trademarks respectively, of the Bank and/or third parties, and all rights to the Marks are expressly reserved by the Bank or the relevant third parties. You shall have no right or licence to download, reproduce or use any such Marks or the name of the Bank whether for use as a link to any website or otherwise, except with the prior approval of the Bank or the relevant third parties.

For the avoidance of doubt, references on GXS Bank Services and Platforms to third party product names (such as MacBook Air or Tesla Model 3) are for illustration purposes only and do not in any way constitute a representation by us that we are an authorised seller or reseller of such products, or that GXS Bank is an owner of licensee of the intellectual property rights to any of the products or product names.

The content published on our GXS Bank Services and Platforms is for general information only, and you should not rely on such content as an offer, solicitation, advice or recommendation. You are advised to seek independent professional advice before acting or omitting to act, in reliance of any content on GXS Bank Services and Platforms. The content on our GXS Bank Services and Platforms is made available primarily for Singapore users. We do not represent or warrant that such content is appropriate for use or available in other locations, or that such content is (and remains) accurate, complete, or up to date. All content is provided “as is” and “as available”.

The content may include content (information, output, materials) based on, contained in or accessed through any interface powered by the emerging technology of generative artificial intelligence such as chatbots, instant messaging services and automated voice calls.

The content provided on any GXS Bank Service and Platform may be subject to time lags, delays and/or may be intercepted or lost and we do not guarantee the delivery, timeliness, completeness, security or accuracy of the content on such GXS Bank Service and Platform. We do not represent that any GXS Bank Service and Platform which we make available or utilise will be accessible at all times, function with any electronic equipment, software, or other electronic banking services or platforms that we may offer, uninterrupted or error-free.

We do not provide any warranty of any kind on our GXS Bank Services and Platforms, including any warranties on accessibility, quality, provision, accuracy, reliability, adequacy or performance of any goods or services.

Any calculators, graphs, charts, formulae or other devices set out or referred to on GXS Bank Services and Platforms cannot, in and of themselves, be used to determine and will not assist any person in deciding whether and/or when to make an investment or procure a financing. All computations and results from such devices are for illustrative purposes only. The Bank makes no representation or warranty as to the accuracy, correctness or completeness of the illustration, computation or results obtained from the use of such devices, and will not under any circumstances accept responsibility or liability for any errors or omissions or for any losses arising from use of or reliance on such illustration, computation or results.

Our chatbot eBuddy (“Chatbot”), one of our GXS Bank Services and Platforms, is an automated chat facility based on the emerging technology of generative artificial intelligence which you may access and use after you have logged in to our mobile application. Our Chatbot replies in response to you submitting any information to us, making any inquiries of us or of any account you maintain or have maintained, or otherwise giving us instructions of whatsoever nature, subject to the features or services available on the Chatbot and any applicable account terms and conditions. By using and continuing to use and/or access our Chatbot, you agree to these Terms of Use.

Content published on or any responses from our Chatbot is for general information only and should not be considered as official statements or financial advice from us or be construed in any way as offering any products or services. You should not rely on such content or responses as advice. You are advised not to use the content published on or the responses from our Chatbot as the sole source of general information and to seek independent professional advice before acting or omitting to act, in reliance on any content published by the Chatbot. You are also advised to fact-check or verify any content or response from our Chatbot on our public GXS Bank Services and Platforms or with information in your account with us.

The content published on and responses from our Chatbot is made available primarily for Singapore users. We do not represent or warrant that such content published on or responses from our Chatbot are appropriate for use or available in other locations. All Chatbot services are “as is” and “as available”. We do not represent or warrant that any content published on or responses from our Chatbot are (and remain) accurate, complete, up to date or fit for any use and it should not be relied upon as such.

We will retain a transcript and/or recording of all communications made between you and us via our Chatbot. We are not obliged to provide you with a copy of such transcripts and/or recordings. We will retain such transcripts for a period of time (as considered appropriate by us at our discretion) so as to comply with applicable laws and regulations and our internal policies. You agree that we shall have the right to use the transcripts and/or recordings in the event of any dispute.

You may be providing any personal data or sensitive information in your use of our Chatbot, including if you make inquiries of any account(s) you maintain or have maintained with us. Should you provide any personal data in your use of our Chatbot, you consent to us collecting, using, processing and/or disclosing your personal data for the following purposes. All communications made between you and us via our Chatbot will be collected, used, processed and/or disclosed by the Bank and/or any authorised third parties for the purposes of responding to queries, feedback or requests provided while using our Chatbot, improving our Chatbot’s accuracy and enhancing the quality of and providing services to you and will be collected, used, processed and/or disclosed in accordance with our Data Privacy Policy.

We may at our discretion require you to provide further user identification, unique identifier, password, personal identification number, one-time passcode or equivalent, as part of our security procedures, before you may gain access to our Chatbot or use certain features or services which we may introduce from time to time.

English shall be the prevailing language used for the Chatbot and without prejudice to these terms, we are not liable to you for any loss or damage, whether foreseeable or not, arising from or in relation to your use of our Chatbot in any language.

The Bank may in its sole and absolute discretion use any third party service provider in providing any of the GXS Bank Services and Platforms to you. Your use of any such GXS Bank Services and Platforms may also be subject to the terms and conditions and policies (including any privacy policy) of such third party service provider. The Bank has no influence or control over the scope of such terms and conditions and/or policies and the type and scope of data that such third party service provider collects, stores or uses as part of the use of such service.

We do not endorse, sponsor, certify and are not involved in the production of such product or service that may be provided by such third party service provider when engaging such third party service provider in the provision of any GXS Bank Services and Platforms. and we will not be responsible or liable for any loss suffered by you arising from the use of such third party service provider’s products or services.

We do not have control over the contents of any third-party sites or resources. Where our GXS Bank Services and Platforms contains links to any third-party sites and resources outside of our domain, these links are provided for your information and ease of reference only. We do not make any representation on the accuracy and completeness of the information on these third-party sites and resources, and you are advised to proceed with caution. Such links should not be taken as our endorsement or approval of those third-party sites or resources.

Our GXS Bank Services and Platforms may include information and materials uploaded by other users, including but not limited to, bulletin boards and chat rooms, which have not been verified or approved by us. The views expressed by other users and contributors on our GXS Bank Services and Platforms do not represent our views or values.

You should not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our GXS Bank Services and Platforms, or any services provided via, or in relation to, our GXS Bank Services and Platforms.

You agree to indemnify us and keep us fully indemnified against any claim, liability, loss, damage, cost or expense (including legal fees and expenses on a full indemnity basis) we or any of our affiliates, agents and/or service providers may suffer or incur, directly or indirectly arising from or in relation to your access and/or use of our GXS Bank Services and Platforms, or your breach of, or non-compliance with, these Terms of Use and/or your reliance on any content on our GXS Services and Platforms, or your use, inquiries, instructions or purported use, inquiries and instructions of our Chatbot. You agree to pay us such monies to us in full on demand.

We exclude all implied conditions, warranties, representations, or other terms that may apply to GXS Bank Services and Platforms, including any content on them. We are not liable to you for any loss or damage, whether foreseeable or not, in contract, tort (including negligence), breach of statutory duty, or otherwise, arising from or in relation to your use of, or inability to use, our GXS Bank Services and Platforms; or use of or reliance on any content displayed on GXS Bank Services and Platforms; or any non-delivery or non-receipt of delayed or misdirected delivery of any goods or services under our GXS Bank Services and Platforms; or any unauthorised and/or unlawful access to our GXS Bank Services and Platforms (and the relevant machines, systems or transmissions channels thereunder); or any act of force majeure; or any act outside our control. We are not liable for any loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill, or reputation; or any indirect or consequential loss or damage. We do not exclude or limit in any way our liability to you where it would be unlawful to do so.

You represent, warrant, and undertake to comply with the content standards set out in our Acceptable Use Policy, and the prevailing laws and regulations, at all times, including when you make use of a feature that allows you to upload content to GXS Bank Services and Platforms, make contact with other users of GXS Bank Services and Platforms, or share Materials of or via GXS Bank Services and Platforms.

If you upload any content to GXS Bank Services and Platforms, such content will be deemed non-confidential and non-proprietary, and you agree to grant us and other users of GXS Bank Services and Platforms, a limited licence to use, store and copy that content, and to distribute and make such content available to third parties. Further, you agree that we have the right to disclose your identity to any third party claiming any infringement or violation of their intellectual property rights, or of their right to privacy, and we have the sole discretion to remove any posting you make on GXS Bank Services and Platforms if we deem that such post does not comply with the content standards set out in our Acceptable Use Policy.  

Notwithstanding the foregoing, when you upload or post content to GXS Bank Services and Platforms, you grant us a worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content in connection with the service provided by GXS Bank Services and Platforms and across different media.

We do not guarantee that GXS Bank Services and Platforms will always be safe and secure or otherwise remain free from bugs or viruses at all material times. You are advised to install relevant virus protection software as necessary to maintain the upkeep of any devices you use to access GXS Bank Services and Platforms, and you are responsible to configure your information technology, computer programmes and platform in the manner appropriate to access our GXS Bank Services and Platforms.

At the minimum, where any smartphone or other device is used to access our GXS Bank Services and Platforms, only download our mobile application from official sources, ensure that our mobile application is updated to the latest version available, patch the device’s operating systems with regular security updates provided by the operating system provider, install and maintain the latest anti-virus software on the device (where applicable), use strong passwords (such as a mixture of letters, numbers and symbols) or strong authentication methods made available by the device provider such as facial recognition or fingerprint authentication methods, not root or jailbreak the devices used, and not download and install applications from third-party websites outside official sources (sideload apps), in particular unverified applications which request device permissions that are unrelated to their intended functionalities.

You agree that you will use our GXS Bank Services and Platforms responsibly and in accordance with all applicable laws, regulations, guidelines and reasonable expectations. 

You agree not to use our GXS Bank Services and Platforms for any purpose which is not within its intended use. You agree not to misuse GXS Bank Services and Platforms by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful; attempt to gain unauthorised access to GXS Bank Services and Platforms, the server on which GXS Bank Services and Platforms is stored, or any server, computer or database connected to GXS Bank Services and Platforms, and/or attack GXS Bank Services and Platforms via a denial-of service attack. You also agree not to use our GXS Bank Services and Platforms for the harvesting or extraction of any data. In the event GXS Bank Services and Platforms is compromised and/or potentially compromised in our reasonable opinion, we may report any such breach to the relevant authorities, disclose your identity for investigation purposes, and/or suspend or terminate your use and/or access to GXS Bank Services and Platforms immediately.

Where you are using GXS Bank Services and Platforms which are powered by generative artificial intelligence, you also agree to use the relevant GXS Bank Services and Platforms (including its content and output) only for its intended purpose and not provide any personal data.

Any content, data or communication transmitted to you or via the GXS Bank Services and Platforms to you is confidential and intended for the sole use of the intended recipient. If you are not the intended recipient, you shall immediately notify us and delete or destroy such content, data, message or communication (and all copies, whether in electronic form or not). You shall keep, and shall procure that any person given access keeps confidential all information received any content, security code or security mechanism. You may only disclose such information to such personnel only to the extent strictly necessary for the proper use of the GXS Bank Services and Platforms in accordance with these Terms of Use.

The Bank does not guarantee the confidentiality of any data, message or communication transmitted through GXS Bank Services and Platforms. Such data, messages or communications may be intercepted or viewed by unauthorised or unintended parties, may not arrive at their intended destination, or may not arrive in the form transmitted. There can be no guarantee that the transmission of electronic communication through GXS Bank Services and Platforms will be timely, secure, or error-free. The information provided to you through GXS Bank Services and Platforms will be valid only as of the date and time when it is sent or as of such date specified on such information. The Bank has not assumed and will not assume any obligation to update the information or otherwise notify the customer of any changes to such information.

These Terms of Use shall be governed by and interpreted in accordance with Singapore Law. You agree to submit to the exclusive jurisdiction of the Singapore courts.

A third party who is not a party to these Terms of Use shall have no rights under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce or enjoy the benefit of any provision of these Terms of Use.
